O2Micro International, a prominent force in the design, development, and marketing of high performance integrates circuits and solutions, announced today that it will begin investigating a broad range of strategic options regarding its Intelligent E-Commerce Group. This investigation includes the possibility of splitting its E-Commerce business into an independent company through a joint venture or some other related transaction.
O2Micro’s Intelligent E-Commerce Group has a proven track record of producing innovative products and a strong history of technological leadership. Flash memory host adapter ICs for notebook PCs are the primary focus of the Intelligent E-Commerce Group’s patent portfolio.
This exploration strategy is concurrent with O2Micro’s plan to simplify its operations and concentrate on its core growth business, specifically its Consumer and Computer Markets, as well as its quickly expanding General Lighting and Industrial markets. An essential portion of the plan is directing its investments, resources, and management towards driving higher value from its core growth markets. O2Micro believes that this investigation of alternatives will help the Company focus on its strategic goals and pursue profitable and long-term growth, resulting in increased shareholder value.

O2Micro management, together with its financial and legal advisors, will explore several strategic alternatives related to its Intelligent E-Commerce business, including a joint venture in conjunction with another business partner. O2Micro expects that the process could be completed by the end of the year, or possibly first quarter of 2013.
There can be no assurance that any transaction regarding O2Micro’s Intelligent E-Commerce Group will be pursued or completed. The company does not intend to disclose developments with respect to the progress of this review process until such time as the O2Micro board of directors approves or completes such a transaction, or otherwise determines that further disclosure is appropriate.
